1. Object
1.1 These General Terms and Conditions are available on the website https://www.ocranalysis.com/ (hereinafter the "Site") and govern the services provided remotely via a telematic network by Eugenio Vignali, a professional located at Via XX Settembre 41, Borgosesia VC, VAT ID 04148720263 (hereinafter "the Provider"), who declares to operate subject to Italian Law No. 4 of 14.01.2013 and is insured for professional risks with Lloyd's policy number A4000057435-LB.
1.2 These general conditions apply to services offered by the Provider through the Site to professional individuals or legal entities (hereinafter "the Client") who request them exclusively for purposes related to their business or professional activity.
1.3 The client is responsible for carefully examining the current General Terms and Conditions before placing any order. It is presumed that they fully understand and accept them without reservation by selecting the appropriate box in the confirmation and acceptance field in the registration form available on the Site.
1.4 The provider is free to make changes, additions, or updates to the current General Terms and Conditions for the provision of services. These changes will take effect on transactions concluded after their publication on the Site, which serves as the official means of communication to inform customers of the changes made.
2. Nature of the services offered
2.1 The services offered on the Site constitute B2B consultancy activities aimed at analyzing and improving organizational management and human resources systems, and the governance of organizations of all types to enhance relationships between their employees and reduce the dysfunctional effects of internal conflicts.
2.2 The features of the services offered on the Site by the Provider are described in the individual Service Orders to which reference is made.
2.2 All services offered on the Site cannot be considered legal, tax, psychological, or of any other nature reserved by Italian law for regulated professions.
3. Activation of the Service
3.1 Contracts between the Provider and the Client regarding individual services are considered concluded upon receipt of the Service Order and the corresponding payment. In the event of a conflict between these General Terms and Conditions and the individual Service Order, the latter prevails.
3.2 The Provider will not accept orders on the Site from subjects who are not professional clients as defined above and without prior registration.
3.3 The Provider reserves the right not to activate the Service in case of delays in payments or other non-compliances by the Client, including those related to previous orders. The Provider will notify the Client by email of such suspension, specifying that it will last until the regularization of the Client's debt position.
3.4 The Client agrees that the Provider may use third-party suppliers to provide the Services.
4. Registration - User ID and password
4.1 In completing the registration procedures on the Site, the Client undertakes to follow the instructions provided and to provide their personal data correctly and truthfully. The Client undertakes to promptly inform the Provider of any changes to their data.
4.2. The Provider may choose not to activate and/or suspend the Service until the Client corrects inaccurate or incomplete data.
4.3. Upon the first registration request, the Provider will assign the Client a User ID and a Password.
4.4. The client acknowledges that User IDs and Passwords represent the authentication system for the client's access to the Site and Services. The parties agree that User IDs and Passwords are the only valid means to identify the client during access to the Services. The client therefore agrees that all actions taken using the specified User IDs and Passwords will be considered attributed to him and will have an immediate binding effect, including for billing purposes. Furthermore, the client acknowledges being the sole and exclusive responsible party for any action taken through their User IDs and Passwords. They agree to keep these credentials confidential, to handle them with the utmost care and diligence, and not to transfer them, even temporarily, to third parties.
5. Compensation and payment
5.1. The compensation for the Services as well as the terms and conditions for payment are established in the Service Orders or commercial offers available on the Site or agreed upon between the Provider and the Client.
5.2. All compensation, unless expressly specified, is to be understood excluding VAT when applicable.
5.3. The Client may use only the tools available on the Site for payment (Paypal and national and international bank transfer).
5.4. Automatic renewal of Services is not provided.
6. Use of Services and Client responsibility
6.1. The Client undertakes to use the Services in accordance with the usage rules indicated in the Service Orders. The Client also undertakes not to use the Services for illicit purposes and not to violate in any way national and international rules and regulations applicable.
6.2 The Client acknowledges being the sole and exclusive responsible party for activities carried out through the purchased Services or directly or indirectly attributable to them, and in particular for being responsible for communications published, disseminated, and transmitted with reference to the Services.
6.3 The Provider cannot be held responsible in any way for illegal, criminal, civil, and administrative acts committed by the Client through the purchased Services, and the Client undertakes to indemnify and, in any case, hold the Provider harmless from any action, claim, demand, cost, or expense arising to the Provider due to the Client's failure to comply with the assumed obligations and warranties with the acceptance of these General Terms and Conditions or with a Service Order and in any case related to the use of the Services.
7. Limitations of the Provider's liability
7.1. The Client agrees and accepts that the Provider cannot be held responsible for any delays or malfunctions in the provision of the Services resulting from circumstances beyond its reasonable control, including, for example: (i) force majeure events; (ii) events caused by actions of third parties, such as the interruption or malfunction of the services of telecommunications operators and/or electric lines or servers on which the Site is hosted.

7.3. In no case will the Provider be liable to the Client or third parties for loss of profit, loss of earnings, or any other form of consequential or indirect damages connected to the execution of these General Terms and Conditions or any Service Order.
7.4. The Client is aware that the obligation assumed by the Provider through the services offered on the Site is an obligation of means and not of results. The Provider, therefore, cannot be held responsible in any way for the possible failure to achieve its objectives and/or for the consequences arising from any decisions made after using the Services.
7.5. Any compensation for damages resulting from errors, omissions, operational and/or contractual non-compliance, or delays by the Provider is admitted exclusively within the maximum limit of the service fee already paid by the Client.
8. Intellectual and/or industrial property rights
8.1. The Provider remains the sole owner of the proprietary and economic exploitation rights related to inventions and programs (including software, documentation, etc.) and anything else prepared, realized, developed for the Services purchased on the Site through individual Service Orders by the Client, who is granted only a limited and non-transferable right of use.
8.2 This condition will survive the conclusion or termination of the contract related to the Service Order for the entire duration of the intellectual property and economic exploitation rights of the Provider on the produced material.
9. Data storage and processing
9.1 The Client declares to have read the information pursuant to articles 13 and 14 of Regulation (EU) 2016/679 (GDPR) available on the Site and, by accepting these general conditions, gives consent to the processing of their personal data for the purposes and according to the methods indicated in said information.
9.2 The personal, company, and fiscal data of the Client, acquired directly or indirectly by the Provider, will be collected and processed in paper, electronic, or telematic form exclusively to allow the execution of service purchase orders on the Site.
10. Changes to the General Terms and Conditions and Service Orders
10.1. The provider reserves the right to make changes at any time to the current General Terms and Conditions, as well as to the terms and conditions of Service Orders. These changes will be communicated to the Client by email with a notice of at least 10 days, in case the following reasons occur: changes in technical, economic, or contractual conditions imposed by third parties and/or resulting from the entry into force of new legislative or regulatory provisions, or the modification of existing provisions; the need to maintain an adequate level of service; or a change in the selling prices of services.
10.2. The Client agrees and accepts that this communication may also be made through General Notices to Users published on the Site.
11. Duration and right of withdrawal
11.1 These General Terms and Conditions have an indefinite duration, unlike contracts for individual Services that will have the duration indicated in the respective Service Orders.
11.2 The Client agrees and acknowledges that withdrawal from these General Terms and Conditions will not be possible as long as there is a contractual relationship between the Client and the Provider resulting from a Service Order.
12. Applicable law, competent court, and mediation clause
12.1 The Provider offers its Services through the Site based in Italy. Therefore, for what is not expressly provided in these general conditions, explicit reference is made to the rules of the Italian Civil Code and EU community regulations regarding the provision of B2B services.
12.2. For any dispute related to or arising from these General Terms and Conditions or Service Orders or their execution, the court of Vercelli will be exclusively competent.
12.3. The Client consents to the use of computer and/or telematic records made by the Provider and/or its suppliers as evidence in any legal context or before a competent authority. These records will be used as evidence in accordance with the provisions established in the current General Terms and Conditions. In particular, the parties may rely on such records as suitable civil evidence to demonstrate the existence of relationships and/or acts that may be the subject of controversy.
12.4 The parties agree that any dispute arising in relation to the consultancy contract with the Provider, including those concerning its validity, interpretation, execution, and resolution, and the acts deriving from it, including any claims for damages, will be submitted to the Mediation Procedure of ADR Piemonte in Vercelli, Italy, in accordance with its Mediation Rules, before initiating any judicial proceedings.
13. Final clauses
13.1 The Client acknowledges that the acceptance of these General Terms and Conditions and Service Orders has taken place on an equal bargaining basis with the Provider and therefore expressly excludes that they should be subject to the discipline of the unfair clauses provided for by Articles 1341 and 1342 of the Italian Civil Code.
13.2 This translation is an automatic translation of the text of the General Terms and Conditions approved by the Client, intended solely to facilitate understanding by non-Italian-speaking customers. For any interpretation or dispute, the original Italian text will prevail and be considered.

Service Agreement for OCRA-Organizational Conflict Risk Analysis Test and Team Test
This Service Agreement ("SA") is an integral and substantial part of the General Terms and Conditions ("CG"), together defining the terms and conditions for the provision of consultancy services called OCRA-Organizational Conflict Risk Analysis Test and OCRA-Organizational Conflict Risk Analysis Team Test ("the Services") by Eugenio Vignali, located at Via xx settembre 41, Borgosesia, VC, Italy, VAT ID IT04148720263, a regulated professional under Law No. 4/2003 ("the Provider"), through the website www.ocranalysis.com ("the Site"), exclusively to professional individuals or legal entities (hereinafter "the Client") who request them for purposes related to their business or professional activity. It also outlines the terms and conditions under which the Client can use the Services within their business activities.
Nature of the Services
The Services aim to process the user's responses to the Tests to analyze their organizational and human resources management system, and governance concerning the management of internal conflicts within their Organization. The risk indicators are processed using the Provider's proprietary algorithm, and the results, along with the generated report, are considered tools for organizational and human resources analysis and improvement, not as a basis for strategic, operational, or financial decisions, which remain the exclusive responsibility of the Client.
The results of the Tests and other Services available on the Site depend on accurate and consistent responses provided by the Client.
Service Offering
The commercial offer ("the Offer") defines the characteristics and price of the Services and is an integral part of these conditions. The terms for the provision of Services are those outlined in the Offer valid at the time of the Client's order and may undergo changes by the Provider at any time. It is, therefore, the responsibility of the Client to inquire about the Offer in force at the time of the order.
Access to Services
The Client can purchase a specific number of accesses to the Services as per the accepted Offer. Each access allows a single completion of the test and the production of the corresponding report. To access and use the Services, the Client needs to generate specific credentials based on their email. The Client is solely responsible for the conservation and sharing of access credentials to the Services, providing necessary information for accessing the Services and generating the related report.
Client's Right of Withdrawal
The Client can withdraw from the purchase of Services before their use, even partially, by entering the identification code and password on the access page to the Services. The withdrawal request and refund must be made by sending an email to admin@ocranalysis.com, entitling the Client to a full refund of the amount paid for the activation of the Services, as indicated in the Offer.
Client's Responsibility
The Client is solely responsible for the information transmitted to the Provider for the execution of the Services. The Client accepts full responsibility for the use of the Services and the completion of tests by themselves or third parties within their business. This implies ensuring that the use of the Services is ethical, professional, and in compliance with the Terms and Conditions specified on the Site, accepted with each use. It is prohibited to use the Services for illegal purposes, including data or privacy violations. The Client acknowledges and accepts sole responsibility for the security, protection, and proper backup of test results and related reports. The Provider and its Partners are not responsible for unauthorized access or use of the Services. The Client agrees to communicate clearly and accurately the purposes and limits of using the Services to third parties and their clients, including providing clear information about the nature of the test, the use of results, the Terms and Conditions on the Site, and the ownership of the Trademark.
Use of the Trademark
The Client acknowledges that intellectual property and economic exploitation rights over the Services and the Trademark belong to the Provider. Therefore, the Client agrees to use the Trademark in communication related to their business activities and regarding the use of the Services exclusively in accordance with the Provider's branding guidelines and the conditions specified below:
The use of the Trademark must not create confusion about the identification of the rights holder and the Client.
The Trademark must not be used in a way that creates associations with other trademarks or logos or be mistaken for the business name of the Services offered by the Client.
The use of the Trademark must be such that it is not confused with other graphic elements that make it difficult to read, nor in a way that distorts its original characteristics.
The Trademark must be used as is, without modifications to its form and original colors.
The electronic file in jpeg format of the Trademark can be requested from the Provider and, when used digitally, must contain the link to the Site (https://www.ocranalysis.com).
No compensation is provided for the use of the Trademark under these conditions.
In the event of non-compliance or violation of these conditions, the Provider may request the immediate cessation of the use of the Trademark by the Client, who undertakes to remove the Trademark from all forms of advertising of their services, with the reservation of defining and requesting compensation for reputational damage to the Client.
Provider's Limitation of Liability
The Client accepts that the Provider may use third-party suppliers for the provision of Services (Partners). The Services are stored and made available on the hosting platform of Register.it, to whose general terms of service and limitation of liability reference is made. The Provider cannot be held responsible for any delays, malfunctions, or interruptions in the platform's access to Services or the Services themselves, independent of its will or due to force majeure. The Services are provided "as is" and "as available" at the time of use. There is no guarantee that the Services will meet the Client's expectations or needs, be continuously available, timely, secure, error-free, accurate, reliable, virus-free, or free from other harmful codes. Additionally, no guarantees are provided regarding the accuracy or completeness of the content related to the Services communicated to the Client. Under no circumstances will the Provider and its Partners be liable for direct, indirect, incidental, special, punitive, or consequential damages, or for the loss of profits, revenues, data, or business opportunities resulting from or related to this agreement or the use of the Services. This limitation of liability also applies to damages resulting from the use or inability to use the Services, including those caused by interruptions, suspensions, or closures of the Services. The maximum overall liability of the Provider and its Partners to the Client for any damages resulting from or related to this Service Agreement is limited to the amount paid by the Client for the purchased Services. The Client acknowledges and agrees that, if they do not accept this limitation of liability, the Services cannot be provided.
Provision and Monitoring of Services
The Client acknowledges and agrees that the Provider and its Partners may monitor the use of the Services and use the collected information in an aggregated and anonymous manner. The Client consents to the use and publication of such aggregated and anonymous information by the Provider and its Partners, provided that such information does not identify the Client. The Client acknowledges and accepts that the Services may not be encrypted and may involve telematic transmissions; they may undergo changes to meet technical or computer requirements; they may involve transmission to third-party providers and partners for data processing and storage necessary to manage and maintain the Services. The Services may be updated at any time to adapt them to the evolution of the analysis model developed by the Provider. The Provider undertakes to communicate any changes deemed substantially significant to the Client. Changes to the analysis model used by the Services are highlighted by the version number on the access page and in the generated report.
Indemnification
The Client acknowledges and accepts the obligation to defend, indemnify, and hold harmless the Provider and its Partners from any claims, damage, obligation, loss, liability, costs, or debt arising from the violation of provisions in the General Terms and Conditions or this Service Agreement, the use of the Services, the violation of applicable law or third-party rights, including those related to privacy, intellectual property, or other proprietary rights. This defense and indemnification obligation will remain valid even after the conclusion of the Service Agreement. The Provider and its Partners reserve the right to assume the defense and control of any matter subject to indemnification under this section.
Service Expiry and Provider's Withdrawal
The Services conclude with the Provider making the Report containing the user's test results available to the Client. The possibility of accessing the Services has no expiration after its purchase; however, the Provider reserves the unequivocal right to cease the provision of Services at any time, notifying the Client with at least 60 days' notice. In this case, if at the time of service cessation, the Client holds unused accesses to the Services, the Provider will refund the Client for the cost incurred based on the number of unused accesses. The Provider is not obliged to compensate the Client for any direct or indirect damages caused by the cessation of Services, and therefore, the Client expressly waives any claim for damages resulting from the cessation of Services by the Provider.
Final Provisions
The purchase of Services cannot be considered in any way as a license or loan under the Italian Civil Code, Article 1803. The Client acknowledges that the acceptance of the conditions of this Service Agreement has occurred on an equal bargaining basis with the Provider and, therefore, expressly excludes that they should be subject to the discipline of unfair clauses under Articles 1341 and 1342 of the Italian Civil Code. For the determination of the applicable law, competent court, and mediation clause, reference is made to what is provided in the General Terms and Conditions.

1. Oggetto
1.1 Le presenti Condizioni Generali sono disponibili sul sito web https://www.ocranalysis.com/ (di seguito il "Sito") e regolano i servizi forniti anche a distanza tramite rete telematica da Eugenio Vignali, professionista con sede in Via XX Settembre 41, Borgosesia VC, P.IVA 04148720263 (di seguito “il Fornitore”) il quale dichiara di esercitare la propria attività soggetto alla Legge n.4 del 14.01.2013 ed è assicurato per i rischi professionali presso i Lloyd's numero del contratto di polizza A4000057435-LB.
1.2 Le presenti condizioni generali si applicano ai servizi offerti dal Fornitore tramite il Sito a soggetti professionali persone fisiche o giuridiche (di seguito “il Cliente” ) che ne facciano richiesta esclusivamente per scopi riferibili alla propria attività imprenditoriale o professionale.
1.3 Il cliente è responsabile di esaminare attentamente le attuali Condizioni Generali prima di effettuare ogni ordine. Si presume che egli le comprenda completamente e le accetti senza riserve, selezionando la casella apposita nel campo di conferma e accettazione nel modulo di registrazione disponibile sul Sito.
1.4 Il fornitore è libero di apportare modifiche, aggiunte o aggiornamenti alle attuali Condizioni Generali per l'offerta dei servizi. Queste modifiche avranno effetto sulle transazioni concluse dopo la loro pubblicazione sul Sito, che funge da mezzo di comunicazione ufficiale per informare i clienti delle modifiche apportate.
2. Natura dei servizi offerti
2.1 I Servizi offerti sul Sito costituiscono attività di consulenza B2B finalizzate ad analizzare e migliorare i sistemi di gestione organizzativa e delle risorse umane e la governance delle organizzazioni di ogni tipo per migliorare le relazioni tra i loro dipendenti e ridurre gli effetti disfunzionali dei conflitti interni.
2.2 Le caratteristiche dei Servizi offerti sul Sito dal Fornitore sono descritte nei singoli Ordini di Servizio ai quali si rimanda.
2.2 Tutti i Servizi offerti sul Sito non possono in alcun modo essere considerati quali consulenza legale, fiscale, psicologica o di altra natura riservata dalla legge italiana alle professioni regolamentate.
3. Attivazione del Servizio
3.1I contratti tra il Fornitore e il Cliente relativi ai singoli Servizi si intendono conclusi al momento della ricezione dell’Ordine di Servizio e del relativo pagamento. In caso di contrasto tra le presenti Condizioni Generali ed il singolo Ordine di Servizio, quest'ultimo prevale.
3.2 Il Fornitore non accetterà ordini sul Sito provenienti da soggetti che non siano clienti professionali come sopra definiti e senza previa registrazione.
3.3 Il Fornitore si riserva il diritto di non attivare il Servizio qualora si verifichino ritardi nei pagamenti o altre inadempienze da parte del Cliente, anche riguardanti ordini precedenti. Il Fornitore darà comunicazione al Cliente tramite posta elettronica di tale sospensione, precisando che la stessa durerà fino alla regolarizzazione della posizione debitoria del Cliente.
3.4 Il Cliente accetta che il Fornitore possa avvalersi di fornitori terzi per l’erogazione dei Servizi.
4. Registrazione - User ID e password
4.1 Nel completare le procedure di registrazione sul Sito, il Cliente si obbliga a seguire le indicazioni ivi riportate e a fornire i propri dati personali in maniera corretta e veritiera. Il Cliente si obbliga a informare tempestivamente il Fornitore di ogni variazione dei propri dati.
4.2. Il Fornitore avrà facoltà di non attivare e/o sospendere il Servizio fino a che il Cliente non provveda a sanare dati non esatti o incompleti.
4.3. In occasione della prima richiesta di registrazione il Fornitore attribuirà al Cliente uno User ID ed una Password.
4.4. Il cliente riconosce che gli User ID e le Password rappresentano il sistema di autenticazione per l'accesso del cliente al Sito e ai Servizi. Le parti concordano sul fatto che gli User ID e le Password sono gli unici mezzi validi per identificare il cliente durante l'accesso ai Servizi. Il cliente accetta quindi che tutte le azioni compiute mediante l'utilizzo degli specificati User ID e Password saranno considerate attribuite a lui e avranno un'immediata efficacia vincolante anche ai fini della fatturazione dei Servizi. Inoltre, il cliente riconosce di essere l'unico e esclusivo responsabile di qualsiasi azione compiuta attraverso i propri User ID e Password. Si impegna a mantenere la segretezza di tali credenziali, a custodirle con la massima attenzione e diligenza, e a non cederle, nemmeno temporaneamente, a terzi.
5. Corrispettivi e pagamento
5.1. I Corrispettivi per i Servizi nonché i termini e le modalità per il pagamento sono stabiliti negli Ordini di Servizio o nelle offerte commerciali disponibili sul Sito o concordate fra il Fornitore e il Cliente.
5.2. Tutti i Corrispettivi, se non espressamente specificato, sono da intendersi I.V.A. esclusa quando applicabile.
5.3. Il Cliente può utilizzare per il pagamento esclusivamente gli strumenti disponibili sul Sito (Paypal e bonifico bancario nazionale e internazionale).
5.4. Non è previsto il rinnovo automatico dei Servizi.
6. Utilizzo dei Servizi e responsabilità del cliente
6.1. Il Cliente si impegna ad utilizzare i Servizi rispettando le regole di utilizzo indicate negli Ordini di Servizio. Il Cliente si impegna inoltre a non utilizzare i Servizi per finalità illecite ed a non violare in alcun modo le norme nazionali ed internazionali e quelle applicabili.
6.2 Il Cliente riconosce di essere il solo ed esclusivo responsabile per le attività svolte attraverso i Servizi acquistati o a lui direttamente o indirettamente riferibili, ed in particolare di essere responsabile delle comunicazioni pubblicate, diffuse e trasmesse con riferimento ai Servizi.
6.3 Il Fornitore non può essere ritenuta in alcun modo responsabile per illeciti, penali, civili ed amministrativi commessi dal Cliente per mezzo dei Servizi acquistati e il Cliente si obbliga a manlevare e, comunque, a tenere indenne il Fornitore da qualsiasi azione, istanza, pretesa, costo o spesa derivanti allo stesso a causa del proprio mancato rispetto delle obbligazioni assunte e delle garanzie prestate con l'accettazione delle presenti Condizioni Generali o con un Ordine di Servizio e comunque connesse all'utilizzo dei Servizi.
7. Limitazioni della responsabilità del Fornitore
7.1. Il Cliente concorda e accetta che il Fornitore non può essere considerato responsabile per eventuali ritardi o malfunzionamenti nella fornitura dei Servizi derivanti da circostanze al di fuori del suo ragionevole controllo, inclusi, a titolo esemplificativo: (i) eventi di forza maggiore; (ii) eventi causati da azioni di terzi, quali ad esempio l'interruzione o il malfunzionamento dei servizi di operatori di telecomunicazioni e/o delle linee elettriche o dei server su cui è ospitato il Sito.
7.2. Il Sito e i Servizi offerti dal Fornitore per via telematica sono conservati su piattaforma hosting di Fornitore.it alle cui condizioni generali di servizio e limitazioni di responsabilità si rimanda:

7.3. Il Fornitore non potrà essere in nessun caso ritenuto responsabile nei confronti del Cliente o di terzi per perdita di profitto, mancato guadagno, né per qualsiasi altra forma di lucro cessante o danno indiretto e consequenziale connesso all'esecuzione delle presenti Condizioni Generali o di ogni Ordine di Servizio.
7.4. Il Cliente è consapevole che l'obbligazione assunta dal Fornitore attraverso i servizi offerti sul Sito è un'obbligazione di mezzi e non di risultati. Il Fornitore, pertanto, non potrà essere ritenuto in alcun modo responsabile per l'eventuale mancato raggiungimento degli obiettivi del Cliente e/o per le conseguenze derivanti da eventuali decisioni da lui prese successivamente all’utilizzo dei Servizi.
7.5. Qualsiasi risarcimento di danni derivanti da errori, omissioni, inadempienze operative e/o contrattuali, o ritardi da parte del Fornitore è ammesso esclusivamente entro il limite massimo del corrispettivo del servizio già corrisposto dal Cliente.
8. Diritti di proprietà intellettuale e/o industriale
8.1. Il Fornitore rimane l'unico titolare dei diritti proprietari e di sfruttamento economico relativi a invenzioni e programmi (inclusi software, documentazione, ecc.) e a quant'altro sia stato preparato, realizzato, sviluppato in funzione dei Servizi acquistati sul Sito attraverso i singoli Ordini di Servizio dal Cliente, al quale è concesso solo un diritto d'uso limitato e non trasferibile.
8.2 Tale condizione sopravvivrà alla conclusione o risoluzione del contratto relativo all’Ordine di Servizio per tutta la durata dei diritti di proprietà intellettuale e di sfruttamento economico del Fornitore su quanto prodotto.
9. Conservazione ed elaborazione dei dati
9.1 Il Cliente dichiara di aver preso visione dell'informativa ai sensi degli artt. 13 e 14 del Regolamento (UE) 2016/679 (GDPR) disponibile sul Sito e, accettando le presenti condizioni generali, presta il consenso al trattamento dei propri dati personali per le finalità e secondo le modalità indicate nella predetta informativa.
9.2 I dati personali, societari e fiscali del Cliente, acquisiti direttamente o indirettamente dal Fornitore, saranno raccolti e trattati in forma cartacea, elettronica o telematica esclusivamente per consentire l'esecuzione degli ordini di acquisto di servizi sul Sito.
10. Modifiche alle Condizioni Generali e agli Ordini di Servizio
10.1. Il fornitore si riserva il diritto di apportare modifiche in qualsiasi momento alle attuali Condizioni Generali, nonché ai termini e alle condizioni degli Ordini di Servizio. Tali modifiche saranno comunicate al Cliente tramite e-mail con un preavviso di almeno 10 giorni, qualora si verifichino i seguenti motivi: cambiamenti nelle condizioni tecniche, economiche o contrattuali imposti da terze parti e/o derivanti dall'entrata in vigore di nuove disposizioni normative o regolamentari, o dalla modifica di disposizioni esistenti; necessità di mantenere un adeguato livello di servizio; o modifica dei prezzi di vendita dei servizi.
10.2. Il Cliente concorda e accetta che questa comunicazione potrebbe essere effettuata anche attraverso Avvisi Generali agli Utenti pubblicati sul Sito.
11. Durata e diritto di recesso
11.1 Le presenti Condizioni Generali hanno durata indeterminata, diversamente dai contratti relativi ai singoli Servizi che avranno la durata indicata nel relativo Ordine di Servizio.
11.2 Il Cliente conviene e concorda che il recesso dalle presenti Condizioni Generali non sarà possibile fintantoché tra il Cliente e il Fornitore sia in essere un rapporto contrattuale derivante da un Ordine di Servizio.
12. Legge applicabile, foro competente e clausola di mediazione
12.1 Il Fornitore offre i propri Servizi attraverso il Sito con sede in Italia. Pertanto, per quanto non espressamente previsto nelle presenti condizioni generali, si fa esplicito riferimento alle norme del Codice Civile italiano e ai regolamenti comunitari UE relativi alla fornitura di servizi B2B.
12.2. Per qualsiasi controversia inerente il o derivante dal presente Condizioni Generali o degli Ordini di Servizio o dalla loro esecuzione sarà esclusivamente competente il Foro di Vercelli.
12.3. Il Cliente acconsente all'utilizzo delle registrazioni informatiche e/o telematiche effettuate dal Fornitore e/o dai suoi fornitori come mezzi di prova in qualsiasi contesto legale o davanti a un'autorità competente. Queste registrazioni saranno utilizzate a fini probatori in conformità con le disposizioni stabilite nelle attuali Condizioni Generali. In particolare, le parti potranno fare affidamento su tali registrazioni come idonea prova civile per dimostrare l'esistenza delle relazioni e/o degli atti che potrebbero essere oggetto di controversia.
12.4 Le parti convengono che ogni controversia che dovesse sorgere in relazione al contratto di consulenza con il Fornitore, comprese quelle concernenti la sua validità, interpretazione, esecuzione e risoluzione, e gli atti da esso derivanti, comprese eventuali richieste di risarcimento danni, sarà sottoposta alla Mediazione Procedura di ADR Piemonte a Vercelli Italia, ai sensi del proprio Regolamento di mediazione, prima di avviare qualsiasi procedimento giudiziario.
13. Clausole finali
13.1. Il Cliente riconosce che l’accettazione delle presenti Condizioni Generali e degli Ordini di Servizio è avvenuta su un piano di assoluta parità negoziale con il Fornitore, e pertanto espressamente esclude che debbano essere sottoposte alla disciplina delle clausole vessatorie recata dagli artt. 1341 e 1342 del Codice Civile Italiano.
Ordine di Servizio OCRA-Organizational Conflict Risk Analysis Test e OCRA-Organizational Conflict Risk Analysis Team Test.
Il presente Ordine di Servizio ("OdS") è parte integrante e sostanziale delle Condizioni Generali (“CG”) e insieme definiscono i termini e le condizioni per la fornitura dei servizi di consulenza denominati OCRA-Organizational Conflict Risk Analysis Test e OCRA-Organizational Conflict Risk Analysis Team Test (“i Test”) da parte di Eugenio Vignali, con sede in Via xx settembre 41, Borgosesia, VC, Italia, P.I. IT04148720263, professionista regolamentato ai sensi della L. 4/2003 (“il Fornitore”), tramite il sito www.ocranalysis.com (“il Sito”) esclusivamente a soggetti professionali persone fisiche o giuridiche (di seguito “il Cliente” ) che ne facciano richiesta per scopi riferibili alla propria attività imprenditoriale o professionale, nonché i termini e le modalità secondo cui il Cliente potrà utilizzare i Servizi nell’ambito della propria attività.
Natura dei Servizi
I Servizi sono finalizzati all’elaborazione delle risposte fornite dall’utente ai Test al fine di analizzare il suo sistema di gestione organizzativa e delle risorse umane e la governance con riferimento specifico alle prevenzionen e gestione dei conflitti interni alla sua Organizzazione ed elaborare un indicatore di potenziale rischio di conflitto.
I risultati dei Test e altri Servizi disponibili sul Sito dipendono dalle risposte fornite dal Cliente, che devono essere accurate e coerenti con la realtà analizzata.
Gli indici di rischio sono elaborati secondo un algoritmo proprietario del Fornitore ed insieme al report prodotto al termine dei test devono essere considerati esclusivamente come strumenti di analisi e miglioramento organizzativo e di gestione delle risorse umane e non come base per decisioni strategiche, operative o finanziarie, che restano di esclusiva responsabilità del Cliente.
Offerta dei Servizi
L'offerta commerciale (“l’Offerta”) definisce le caratteristiche e il prezzo dei Servizi e forma parte integrante delle presenti condizioni.
I termini per l’erogazione dei Servizi sono quelli prospettati nell’Offerta in vigore al momento dell’ordine da parte del Cliente, e potranno subire in qualunque momento variazioni da parte del Fornitore. Resta pertanto nella responsabilità del Cliente informarsi sull’Offerta in vigore al momento dell’ordine.
Accesso ai Servizi
Il Cliente può acquistare un numero di accessi ai Servizi secondo l’Offerta accettata.
Ogni accesso consente un solo completamento del test e la produzione del relativo report.
Per l’accesso e la fruizione dei Servizi è necessario generare apposite credenziali basate sulla email dell’utente.
Il Cliente è l’unico responsabile della conservazione e condivisione con terzi delle credenziali di accesso ai Servizi e di fornire loro le informazioni necessarie per l’accesso e la fruizione dei Servizi e la produzione del relativo report.
Recesso del Cliente
Il Cliente può recedere dall'acquisto dei Servizi prima della loro fruizione, anche parziale, che avviene mediante inserimento del codice identificativo e della password nella pagina di accesso ai Servizi.
La richiesta di recesso e rimborso dovrà essere effettuata mediante l'invio di una email all'indirizzo admin@ocranalysis.com, dando diritto al Cliente alla restituzione integrale dell'importo versato per l'attivazione dei Servizi come indicato nell’Offerta.
Responsabilità del Cliente
Il Cliente è l'unico responsabile delle informazioni trasmesse al Fornitore per l'esecuzione dei Servizi.
Il Cliente accetta la piena responsabilità per l'utilizzo dei Servizi e il completamento dei test da parte sua o di terzi nell'ambito della sua attività. Ciò implica la garanzia che l'uso dei Servizi sia etico, professionale e conforme ai Termini e alle Condizioni d'uso specificati sul Sito, accettati ad ogni utilizzo.
È vietato utilizzare i Servizi per scopi illegali, compresa la violazione di dati o privacy.
Il Cliente riconosce e accetta di essere l'unico responsabile della sicurezza, protezione e backup adeguati dei risultati dei test e dei relativi report.
Il Fornitore e i suoi Partner non saranno responsabili per accessi o utilizzi non autorizzati dei Servizi.
Il Cliente si impegna a comunicare con chiarezza e correttezza gli scopi e i limiti d'uso dei Servizi ai terzi e ai propri clienti, incluso fornire informazioni chiare sulla natura del test, sull'uso dei risultati, sui Termini e le Condizioni presenti sul Sito e sulla titolarità del Marchio.
Utilizzo del Marchio
Il Cliente riconosce che i diritti di proprietà intellettuale e di sfruttamento economico sui Servizi e sul Marchio sono del Fornitore e accetta pertanto di utilizzare il Marchio nella comunicazione relativa alla propria attività e con riferimento all’utilizzo dei Servizi esclusivamente nei termini e in conformità con le linee guida di branding del Fornitore e le condizioni di seguito specificate:
- l’utilizzo del Marchio non deve creare dubbi circa l’identificazione del soggetto titolare dei diritti e il Cliente;
- il Marchio non deve essere utilizzato in modo tale da creare associazioni con altri marchi o loghi o essere scambiato quale nome commerciale dei Servizi offerto dal Cliente;
- l’utilizzo del Marchio deve essere tale da non essere confuso con altri elementi grafici che ne rendano difficile la lettura né in modo tale da snaturare le caratteristiche originarie; - il Marchio deve essere utilizzato tale e quale senza modifiche nei rapporti della sua forma e nei colori originali;
- il file file elettronico formato jpeg del Marchio può essere richiesto al Fornitore e quando utilizzato digitalmente deve contenere il link al Sito (https://www.ocranalysis.com); - nessun corrispettivo è previsto per l’uso del Marchio secondo le presenti Condizioni;
- in caso di inadempimento o violazione delle presenti condizioni il Fornitore potrà chiedere l’immediata cessazione dell’utilizzo del Marchio da parte del Cliente che si impegna a eliminare il Marchio da ogni forma di pubblicizzazione dei propri servizi, con riserva di definizione e richiesta di risarcimento del danno reputazionale al Cliente.
Limitazioni di responsabilità del Fornitore
Il Cliente accetta che il Fornitore possa avvalersi di fornitori terzi per l’erogazione dei Servizi (Partner).

Il Fornitore non può essere ritenuto responsabile per eventuali ritardi, malfunzionamenti o interruzioni nella piattaforma di accesso ai Servizi o nei Servizi stessi indipendenti dalla sua volontà o per cause di forza maggiore.
I Servizi sono forniti "così com'è" e "come disponibile" al momento dell'utilizzo.
Non viene garantito che i Servizi soddisfino le aspettative o le esigenze del Cliente, che sia disponibile in modo ininterrotto, tempestivo, sicuro o privo di errori, né che sia accurato, affidabile, esente da virus o altri codici dannosi. Inoltre, non vengono fornite garanzie riguardo all'accuratezza o alla completezza dei contenuti relativi ai Servizi comunicati al Cliente.
In nessuna circostanza, il Fornitore e i suoi Partner saranno ritenuti responsabili per danni diretti, indiretti, accidentali, speciali, punitivi o conseguenti, o per la perdita di profitti, entrate, dati o opportunità commerciali derivanti da o relativi al presente accordo o all'uso dei Servizi. Questa limitazione di responsabilità si applica anche a danni derivanti dall'utilizzo o dall'impossibilità di utilizzare i Servizi, compresi quelli causati da interruzioni, sospensioni o chiusure dei Servizi.
La massima responsabilità complessiva del Fornitore e dei suoi Partner nei confronti del Cliente per eventuali danni derivanti o relativi al presente Ordine di Servizio è limitata all'importo pagato dal Cliente per i Servizi acquistati.
Il Cliente riconosce e accetta che, nel caso in cui non accetti questa limitazione di responsabilità, i Servizi non potranno essere forniti.
Erogazione e monitoraggio dei Servizi
Il Cliente riconosce e accetta che il Fornitore e i suoi Partner possono monitorare l'uso dei Servizi e utilizzare le informazioni raccolte in modo aggregato e anonimo. Il Cliente acconsente all'uso e alla pubblicazione di tali informazioni aggregate e anonime da parte del Fornitore e dei suoi Partner, a condizione che tali informazioni non identifichino il Cliente.
Il Cliente prende atto e accetta che i Servizi potrebbero essere non crittografati e comportare trasmissioni telematiche; potrebbero subire modifiche per adattarsi ai requisiti tecnici o informatici; potrebbero comportare la trasmissione a fornitori di terze parti e partner per l'elaborazione dei dati e la loro archiviazione necessaria per gestire e mantenere i Servizi.
I Servizi possono essere aggiornati in qualsiasi momento per adeguarli all'evoluzione del modello di analisi sviluppato dal Fornitore. Il Fornitore si impegna a comunicare al Cliente ogni variazione ritenuta insindacabilmente significativa. Le modifiche al modello di analisi utilizzato dai Servizi sono evidenziate dal numero di versione presente nella pagina di accesso e sul report prodotto.
Indennizzo
Il Cliente riconosce e accetta l'obbligo di difendere, indennizzare e manlevare il Fornitore e i suoi Partner da qualsiasi rivendicazione, danno, obbligazione, perdita, responsabilità, costi o debito derivante dalla violazione delle disposizioni nelle Condizioni Generali o nel presente Ordine di Servizio, dall'uso dei Servizi, dalla violazione della legge applicabile o dei diritti di terzi, inclusi quelli relativi alla privacy, alla proprietà intellettuale o altri diritti di proprietà. Questo obbligo di difesa e indennizzo sarà valido anche dopo la conclusione dell’Ordine di Servizio. Il Fornitore e i suoi Partner si riservano il diritto di assumere la difesa e il controllo di qualsiasi questione soggetta a indennizzo ai sensi della presente sezione.
Scadenza dei Servizi e recesso del Fornitore
I Servizi si concludono con la messa a disposizione da parte di Fornitore al Cliente del Report contenente i risultati del test effettuato dall’utente.
La possibilità di accedere ai Servizi non ha scadenza dopo il suo acquisto, tuttavia il Fornitore si riserva il diritto insindacabile di interrompere l’erogazione dei Servizi in ogni momento, dandone comunicazione al Cliente con almeno 60 giorni di preavviso.
In tal caso, se al momento della cessazione dei Servizi il Cliente detiene accessi ai Servizi non ancora utilizzati il Fornitore rifonderà al Cliente il costo sostenuto rapportato al numero di accessi inutilizzati.
Il Fornitore non sarà tenuto a corrispondere al Cliente alcun indennizzo o risarcimento per danni, diretti o indiretti, causati dalla cessazione dei Servizi e pertanto il Cliente rinuncia espressamente a qualsiasi pretesa di risarcimento danni derivante dalla cessazione dei Servizi da parte del Fornitore.
Disposizioni finali
L’acquisto dei Servizi non può essere in alcun modo considerato quale concessione di licenza né comodato ai sensi del Codice Civile italiano, art. 1803.
l Cliente riconosce che l’accettazione delle condizioni del presente Ordine di Servizio è avvenuta su un piano di assoluta parità negoziale con il Fornitore, e pertanto espressamente esclude che debbano essere sottoposte alla disciplina delle clausole vessatorie recata dagli artt. 1341 e 1342 del Codice Civile Italiano.
Per la determinazione della legge applicabile, del Foro competente e della clausola di mediazione si rimanda a quanto previsto nelle Condizioni Generali.
